1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Zelta Fintech s.r.o (Company ID: 09705899), registered in the Commercial Register of the City of Prague, Czech Republic, operating as Expendily ("Company," "we," "us," or "our").

By accessing or using the Expendily platform, you agree to be bound by these Terms. If you do not agree, you may not access or use our services.

2. Description of Service

Expendily is a multi-tenant enterprise procurement management platform that provides:

• Requisition and approval workflow management
• Supplier and vendor management
• Contract lifecycle management
• Budget tracking and reporting
• Invoice processing and OCR capabilities
• Tender and RFQ/RFP management
• Multi-currency support

3. Account Registration

To use Expendily, you must:

• Be authorized to bind your organization to these Terms
• Provide accurate and complete registration information
• Maintain the confidentiality of your account credentials
• Promptly notify us of any unauthorized use of your account

Account activation is subject to our review and approval process.

4. Subscription and Payments

Access to Expendily requires a paid subscription. Subscription terms include:

• Billing: Subscriptions are billed in advance on a monthly or annual basis
• Payment: All fees are non-refundable unless otherwise stated
• Price Changes: We may modify pricing with 30 days notice
• Cancellation: You may cancel at any time; access continues until the end of the billing period

5. Acceptable Use

You agree not to:

• Use the platform for any unlawful purpose
• Attempt to gain unauthorized access to any part of the service
• Interfere with or disrupt the platform's operation
• Upload malicious code or content
• Share your account credentials with unauthorized users
• Violate any applicable laws or regulations

6. Data Ownership and Rights

Your Data: You retain all rights to data you upload to Expendily. You grant us a limited license to use this data solely to provide our services.

Our Platform: Expendily and all related intellectual property remain the exclusive property of Zelta Fintech s.r.o.

7. Limitation of Liability

To the maximum extent permitted by law, Zelta Fintech s.r.o shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of Expendily.

8. Disclaimer of Warranties

Expendily is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Termination

We may suspend or terminate your access to Expendily at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the platform will immediately cease.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts of Prague, Czech Republic.
